In this week's Freedom Friday blog and email newsletter, I'm going to continue talking about a topic that comes up with a lot of my new clients who want to form a new business entity for their small business, and that's a registered service agent, also sometimes called a registered agent. Last week, I answered the question, “Why does your small business need a registered service agent?” This week I want to dive a little deeper and answer another question I often get, “What does the registered service agent do for your small business?”
According to Oklahoma law, the primary duty of a registered service agent is to accept service of process and other communications directed to the corporation, LLC, or other business entity, for which the registered service agent serves as a registered service agent, and forward the same to the corporation, LLC, or other business entity to which the service or communication is directed. So, for example, if God forbid someone sues your LLC or your small business, the registered service agent would be the person or entity that gets served with the lawsuit.
Because forwarding service of process to the corporation, LLC, or other business entity is so important, its important to choose a reliable registered service agent. As a practical matter, if the registered service agent doesn't effectively process the service or communication that it receives, your small business may have a big problem. To avoid that big problem, the registered service agent needs to forward you the service or communication immediately, in full, and via multiple methods. Otherwise, your LLC or small business could suffer significant loss of legal rights, and even end up with a court order, judgment, or other legal decree against it.
